MOTION TO INTERVENE AND PROTEST OF ELECTRIC POWER SUPPLY ASSOCIATION-Southern Company Services, Inc.-Docket No. RT00-77-000

Introduction

Pursuant to Rules 211 and 214 of the Commission’s Rules of Practice and Procedure, 18 C.F.R. §§ 385.211 and 214 (2000) the Electric Power Supply Association (“EPSA”) hereby moves to Intervene and Protest in the above-captioned proceeding, which represents the efforts to date to form a Regional Transmission Organization (“RTO”) in the Southeast region of the United States.

On October 16, 2000, Southern Company Services, Inc. (“Southern”), as agent for its five regulated operating companies – Alabama Power Company, Georgia Power Company, Gulf Power Company, Mississippi Power Company and Savannah Electric Power Company, submitted its Petition for Declaratory Order (the “Petition”) in the above-referenced docket in accordance with Order No. 2000. Southern proposes an RTO that will encompass only the existing Southern control area – the transmission assets of the five Southern operating companies and the other transmission owners that comprise the Georgia Integrated Transmission System (“GITS”), all of which are non-jurisdictional entities (municipalities and cooperatives). Southern proposes to form a for-profit Gridco – that would be organized as a limited liability company (“LLC”) formed by the transmission owners (Southern’s proposed Structure No. 1) or an unaffiliated company (“Newco”) (Southern’s proposed Structure No. 3). In addition, Southern proposes a hybrid approach where the Newco could serve as a “Managing Member” of the LLC (Southern’s proposed Structure No. 2).
